Essential Due Diligence Checks for Philippine Property Buyers
Navigating Philippine real estate requires strict compliance with national statutory frameworks. Whether you are evaluating a preselling condominium, a titled resale property, or an assumed-mortgage (pasalo) arrangement, confirm the documentation below against the relevant government agency before releasing any deposit or reservation fee. These are the same tripwires checked by the interactive Property Risk Audit above.
1. Licensing and Authority: the DHSUD License to Sell
Pursuant to Presidential Decree 957, a developer may not accept reservations or payments on a preselling project without an active DHSUD (formerly HLURB) License to Sell. Advertisements or agents claiming the LTS is "still in process" carry an extreme risk of project abandonment and years of refund litigation.
2. Payment Security under RA 9646
The Real Estate Service Act (Republic Act 9646) prohibits unlicensed agents from collecting earnest money or reservation fees. Never transfer funds via GCash, a personal bank account, or an informal remittance unless the account belongs to the registered developer, a bank escrow, or the titled owner exactly as named on the TCT or CCT.
3. Title Due Diligence at the Registry of Deeds
Always request a fresh Certified True Copy of the title directly from the Registry of Deeds and review Page 2, the Memorandum of Encumbrances. Watch for an active Lis Pendens, adverse claim, bank lien, or an unsegregated Mother Title. A property under an active Lis Pendens is subject to ongoing litigation, and a purchase made during that litigation can later be declared void.
4. Pasalo and Assume-Balance Transactions
A pasalo (assume-balance) purchase is only safe when the lending bank or Pag-IBIG has given formal written approval of the mortgage assumption. An informal pasalo arranged without the bank's knowledge violates the loan's due-on-sale clause, which lets the bank foreclose on the original borrower and can void the new buyer's payments entirely.
5. OFW Special Power of Attorney (SPA) Validity
If a buyer or seller is an OFW or otherwise abroad, the SPA must be consularized at a Philippine Embassy or Apostilled by the foreign government's competent authority. A document signed abroad and then notarized by a local Philippine notary is fraudulent: notaries cannot notarize a signature made outside their physical presence, and the BIR and Registry of Deeds will reject it.
6. Broker and Agent Licensing
Ask any agent or broker for their PRC ID and DHSUD accreditation. Under RA 9646, an unlicensed "colorum" agent or unaccredited freelancer cannot be held administratively liable by the PRC if the deal turns out to be fraudulent, leaving buyers with far less recourse.
Frequently Asked Questions
Is it legal for a developer to sell a preselling condo without a DHSUD License to Sell?
No. Under Presidential Decree 957, a developer must hold an active DHSUD License to Sell before accepting reservations or payments on a preselling project. If a seller says the LTS is "still in process," treat it as a critical red flag.
Is it safe to pay a reservation fee through GCash or a personal bank account?
Only if the account belongs to the registered developer, a bank escrow, or the titled owner exactly as named on the title. Paying an agent, broker, or seller's relative through a personal GCash or bank account is a critical risk under RA 9646.
What does it mean if a lot only has a Mother Title instead of an individual title?
A Mother Title covers an undivided parent parcel with a promised Deed of Partition to follow later. It carries real risk of undivided estate taxes, shared family disputes, and unapproved local zoning until the title is subdivided in your name.
What should I check on Page 2 of a property title before buying?
Page 2 of a Certified True Copy is the Memorandum of Encumbrances. Confirm there is no active Lis Pendens, adverse claim, or court attachment before releasing any payment.
Is a pasalo or assume-balance purchase legal in the Philippines?
Only when the lending bank or Pag-IBIG has given formal written approval of the mortgage assumption. An informal pasalo done without the bank's knowledge can void the new buyer's payments under the loan's due-on-sale clause.
Can an OFW's Special Power of Attorney be notarized locally after being signed abroad?
No. It must be consularized at a Philippine Embassy or Apostilled by the foreign government's competent authority. A local notary cannot legally notarize a document signed outside their physical presence.
How do I verify that a real estate agent or broker is actually licensed?
Ask for their PRC ID and DHSUD accreditation. Under RA 9646, unlicensed "colorum" brokers cannot be held administratively liable by the PRC if the deal turns out to be fraudulent.
